Collaboration

The Customer and the Supplier commit themselves to collaborate in the execution of the work. Thus, the Customer will provide, as far as possible, all the resources necessary for the activities of the agreement with the Supplier, and will provide to this end, promptly, any information, material, text and illustration, or suitable directive.

Circumstances beyond control

A part could not be held responsible for any delay in the execution of obligations or for any inexecution of obligations when the causes and circumstances are beyond control.

Property and royalty

The Supplier preserves the royalties on the programs, scripts, HTML pages, and other documents produced or provided by the Supplier which remains his property. This clause makes it possible for the Supplier to re-use his own material in order to maintain competitive rates. This clause also indicates to the Customer that it cannot make copies of the material provided for resale purposes. If an agreement of service is cancelled, such a cancellation does not invalid the present clause on royalties, which remains in force. The royalty related to the illustrations, logos, texts and another material provided by the Customer remain the property of the Customer or their respective owner.

Responsibility and damage

The products and services are provided "as-is", with their possible failures and without guarantee express or implicit, in particular to obtain a precise result or a specific performance. The Supplier excludes any responsibility to whoever for any loss or any damage caused in all or in part by an acts or omissions from his part, or by circumstances out of his control. In no case, the Supplier will be responsible towards the Customer or whoever, of any direct damage, consequent or different (including the damage for loss of customers, loss of benefit or another financial loss rising from the use of the products and services or the impossibility of using them) caused by his products and services, foreseeable or not.

Cancellation and Refund policy

The Customer or the Supplier can cancel an agreement of service if the other part does not conform to any clause of the herein terms and conditions, or for any other reason right and reasonable, by sending a written notice. The cancellation takes effect on the day of the reception of the notice by the other part. In the event of cancellation by either part, the Customer aggree to pay within thirty (30) days all the expenses of service already engaged before the cancellation date.
If advanced payment was made, the Supplier will refund the Customer within thirty (30) days for any amount exceding all expenses of service engaged before the cancellation date.
